MGM Resorts International has officially amended its existing Voting Agreement with its largest shareholder, People Incorporated (an affiliate of IAC and Barry Diller). The update follows People Incorporated’s decision to withdraw its previously announced proposal to acquire MGM Resorts.

While a full takeover is no longer on the table, the amended agreement sets clear guardrails for the relationship between the gaming giant and its principal investor moving forward.
Key Details of the Amended Agreement
According to the announcement, the amended agreement outlines several critical terms governing People Incorporated, Barry Diller, and associated entities (referred to collectively as the “Covered Entities”):
- Voting Alignment on Changes of Control: The Covered Entities have agreed to vote all of their MGM Resorts shares in alignment with the Board’s recommendations regarding any potential change of control transaction, subject to specific conditions.
- Ownership Cap: The Covered Entities are restricted from purchasing additional shares if doing so would bring their combined aggregate ownership above 29.9% of MGM Resorts’ outstanding common stock.
- Board Protections: As long as the Covered Entities comply with the terms of the agreement, MGM Resorts has committed to avoiding defensive measures or actions targeted against them.
Strategic Takeaways for Shareholders
Paul Salem, Chairman of the MGM Resorts Board, noted that the agreement establishes a clear framework for the Board to maximize shareholder value—whether through ongoing share repurchases or a future change-of-control transaction if one arises in line with fiduciary duties.
Importantly, the press release emphasizes that neither party is currently obligated to pursue or enter into a transaction, and none is currently contemplated. MGM Resorts remains focused on executing its core operational strategy across its global entertainment, gaming, and online sports betting portfolio.
